Agreement to These Terms

These Terms of Service govern your access to Enck websites, applications, APIs, and related services. By accessing or using the service, you agree to these Terms. If you use Enck on behalf of a company or organization, you represent that you have authority to bind that entity.

Accounts and Eligibility

• You must provide accurate account information and keep it current.
• You are responsible for maintaining the confidentiality of credentials and access to your workspace.
• You may not share access in a way that circumvents plan limits, security controls, or applicable law.
• You are responsible for activity that occurs under your account unless caused by Enck's breach of these Terms.

Platform Services

Enck provides AI-assisted operations software for tasks such as lead handling, scheduling, quoting, invoicing, communications, and workflow execution. Features may rely on third-party services, connected integrations, or model providers.

We may modify or improve features over time. We will not deliberately reduce a paid plan's core functionality during an active billing period without a reasonable substitute or notice where practicable.

Fees, Credits, and Billing

• Paid subscriptions and one-time credit purchases are billed using the payment methods you authorize.
• Usage may be restricted if your account lacks the balance or plan required to access a feature.
• Except where required by law, fees are non-refundable once consumed or earned.
• You are responsible for taxes, duties, and similar governmental charges associated with your purchase.

Customer Data and Integrations

You retain rights to the customer data, business records, prompts, and files you submit to Enck. You grant Enck the limited rights required to host, process, transmit, and display that data solely to provide the service.

If you connect third-party systems, you are responsible for ensuring you have the right to authorize that connection and the instructions you send through it. Our privacy and processing commitments are described further in the Privacy Policy and DPA.

By enabling integrations or connecting financial accounts through customer-enabled connection flows, you authorize Enck and its relevant service providers to collect, process, store, and transmit the associated data as needed to provide the requested functionality.

SMS and Prerecorded Call Terms

By opting in to receive text messages from Enck Equity Group LLC, you agree to receive recurring automated customer care text messages at the number provided. These messages may include responses to your inquiry, appointment coordination, and service updates. Consent is not a condition of purchase. Message frequency may vary. Message and data rates may apply. Reply STOP to opt out and HELP for help. Carriers are not liable for delayed or undelivered messages.

If you separately consent to prerecorded voicemail or call outreach, you agree that Enck Equity Group LLC may contact you using prerecorded messages or calls for the use cases described at the point of collection. You may revoke consent at any time by contacting us.

Acceptable Use

You may not use Enck to:

• Violate law, regulation, contractual restrictions, or the rights of others.
• Send spam, malware, deceptive messages, or other abusive or fraudulent content.
• Interfere with the security, integrity, or availability of the service.
• Reverse engineer, copy, scrape, or probe the platform beyond permitted use.
• Use AI outputs as the sole basis for medical, legal, employment, or other high-risk decisions without qualified review.

AI-Assisted Output

The platform may generate or recommend content, actions, or workflow steps based on your instructions and connected data. AI-assisted outputs can be incomplete, incorrect, or unsuitable for a specific context.

You remain responsible for reviewing outputs, approvals, external communications, financial actions, and business decisions. Enck does not provide legal, tax, accounting, or other regulated professional advice through the service.

Intellectual Property

Enck and its licensors retain all rights, title, and interest in the service, software, designs, trademarks, and documentation. Except for the limited rights expressly granted in these Terms, no license is granted by implication or otherwise.

Confidentiality

We will protect customer confidential information using reasonable measures aligned to the nature of the data and service. You agree not to disclose non-public product, technical, pricing, or security information you receive from Enck except as needed for authorized use of the service.

Suspension and Termination

We may suspend or terminate access if needed to prevent harm, respond to abuse, address security issues, enforce these Terms, or comply with law. You may stop using the service at any time, but any accrued payment obligations remain due.

Disclaimers

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Enck disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

Limitation of Liability

To the maximum extent permitted by law, Enck will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, business interruption, or data. Our aggregate liability for all claims related to the service will not exceed the amount paid by you to Enck for the service during the 12 months before the event giving rise to the claim.

Governing Law

These Terms are governed by the laws of the State of Delaware, excluding its conflict of law rules, unless another governing law is required by a separate signed agreement.

Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will update the revision date on this page and may provide additional notice where appropriate. Continued use of the service after the effective date means you accept the updated Terms.
